Shareholder

At least one shareholder is generally required. A shareholder may be an individual or corporate entity and may be local or foreign.

Company Secretary

An eligible individual ordinarily resident in Singapore should be appointed within six months. The sole director cannot also act as company secretary.

Registered Office

The company must maintain a Singapore registered-office address for official communications and statutory requirements.

Ongoing Compliance

Typical obligations can include bookkeeping, financial statements, ECI where required, corporate tax filing, AGM or exemption procedures and ACRA annual return filing.

No. UnionSPACE is a private business advisory and commercial services provider. We are not ACRA, IRAS, ICA, MOM or any other Singapore government authority, and we do not present this website as an official Singapore government portal.

Yes. A Singapore private limited company may be wholly foreign-owned. It must still satisfy local requirements, including at least one director who is ordinarily resident in Singapore.

No local shareholder is generally required for a standard private limited company. The separate resident-director requirement still applies.

Common requirements include at least one shareholder, at least one director ordinarily resident in Singapore, a Singapore registered office, a constitution, issued share capital and an eligible company secretary appointed within six months. Ownership-transparency and nominee/controller requirements may also apply.

Paid-up share capital may start from S$1. A higher amount may be more appropriate depending on banking, licensing, work-pass, credibility and operating requirements.

Yes. A nominee director remains a director with legal duties and responsibilities. The arrangement is therefore subject to enhanced due diligence, activity review, written controls and the service agreement.

After KYC and complete documents, UnionSPACE commonly estimates 5–7 business days for a standard case. ACRA review, referral authorities and other workstreams can take longer, and banking follows a separate timeline.

Often, yes, subject to successful KYC, document certification, signing and endorsement requirements. A bank, regulator, licensing body or immigration authority may separately require attendance or additional verification.

Compulsory GST registration generally applies when taxable turnover exceeds the applicable S$1 million threshold under the relevant retrospective or prospective test. Application timing, effective dates and exceptions follow current IRAS rules.

No. Banks and payment institutions conduct their own KYC, beneficial-owner, activity, substance and source-of-funds review. UnionSPACE can help with banking readiness and introductions, but the institution controls approval and attendance requirements.
