Private advisory service — not a Singapore government website. UnionSPACE is a private business consultancy and commercial services provider. We are not part of, affiliated with, or endorsed by ACRA, IRAS, ICA, MOM or any other Singapore government authority. Company registrations, UENs, tax registrations, work passes, licences and other official approvals are issued or controlled by the relevant authorities.
Planning a Singapore Pte. Ltd.? Structure It Before You Incorporate.
Singapore can be attractive for foreign founders building an ASEAN headquarters, trading operation, technology business, holding structure or regional service company. Before proceeding, make sure the ownership, resident-director arrangement, registered office, company secretary, banking plan, tax position and ongoing compliance fit your real operating model.
Start with a Singapore Setup Fit Review: tell us what the company will do, who will own it, where management will sit and how you expect to bank, hire and trade. We will help identify the key structuring and compliance questions to resolve before you commit.

Commercial advisory and coordination. Official decisions remain with Singapore authorities and institutions.
Every director carries legal duties; a nominee arrangement is not an inactive or sleeping-director exemption.
ACRA, IRAS, banks, licensing bodies and immigration authorities make their own independent decisions.
WHY REVIEW FIRST
A Singapore Company Is More Than an ACRA Registration
For foreign founders, the real question is not only whether a company can be incorporated. It is whether the proposed structure can support the way you intend to manage, bank, hire, trade and remain compliant after incorporation.
1. Ownership & Officers
Map shareholders, directors and beneficial owners, including the requirement for at least one director ordinarily resident in Singapore and the role of the company secretary.
2. Activity & Licensing
Review what the company will actually do, whether sector licences may apply and whether the proposed capital, management and operating footprint are commercially credible.
3. Office & Corporate Administration
Plan the Singapore registered office, statutory mail handling, company-secretary support, registers and recurring corporate administration required after incorporation.
4. Banking, Tax & Substance
Consider corporate banking, management location, tax residency, GST, accounting, annual filings, work-pass needs and cross-border tax before the setup is treated as complete.

- Official registrations, identifiers and approvals remain subject to authority requirements.
- Banks and payment institutions independently decide onboarding and KYC applications.

- Review ownership, resident-director, company-secretary, office and compliance needs.
- Coordinate KYC, supporting documents and incorporation workstreams within the agreed scope.
- Provide or coordinate registered-office, corporate-secretarial, accounting and recurring compliance support where applicable.
- Assist with banking readiness and introductions without guaranteeing approval.
