Prefer to use official Thai government channels directly?

Businesses can use official Thai government information and filing channels directly where eligible. Government fees may be lower than private professional-service fees.

Useful official starting points include the Department of Business Development, Thailand Board of Investment, and Revenue Department. UnionSPACE's fees are for private advisory and commercial support and are separate from government charges unless expressly stated in a written proposal.

FOREIGN OWNERSHIP

Choose a Lawful Thailand Company Structure

Thailand does not impose one ownership formula on every business. The correct route depends on the activity, investor nationality, capital, licences and commercial plan.

Genuine Thai-Majority Company

A Thai-majority structure may operate activities that would otherwise be restricted to a foreign company. Thai shareholders must be genuine investors using their own funds and exercising real shareholder rights. Nominee arrangements are prohibited.

Foreign-Owned Company

Full or majority foreign ownership may be available where the activity is not restricted, falls within an exemption, or qualifies for a Foreign Business License or Foreign Business Certificate.

BOI or Treaty Route

Eligible projects may seek BOI promotion and related foreign-business permissions. Qualifying US investors may consider the US–Thailand Treaty of Amity, subject to exclusions and certification requirements.

HOW WE WORK

Structure First. Then Register and Activate.

A consultation-first process reduces the risk of registering a company that cannot operate the intended activity, use the intended office, obtain the required tax status or support the planned immigration/licensing route.

1. Structure & Fit Review

Confirm the business activity, ownership route, registered office, capital, directors, hiring plan and any BOI/FBA/licensing needs.

2. Prepare & Coordinate DBD Filing

Prepare the name, memorandum, articles, shareholder/director information, applications and signing pack for the agreed filing route.

3. Activate Tax & Compliance

Set up bookkeeping, tax, VAT where applicable, electronic filing, payroll and employer Social Security, plus annual audit and DBD compliance planning.

4. Banking & Ongoing Support

Prepare the corporate-account dossier and coordinate introductions. The bank independently controls KYC, attendance requirements and approval.

No. UnionSPACE is a private business advisory and commercial services provider. We are not the DBD, BOI, Revenue Department, Social Security Office or another Thai government authority, and we do not control official registrations, licences or approvals.

Yes, in some cases. Full foreign ownership may be available when the activity is not restricted under the Foreign Business Act or through BOI promotion, a Foreign Business License or Certificate, the US–Thailand Treaty of Amity, or another applicable exemption. The business activity determines the route.

No. The correct ownership structure depends on the activities and whether the entity is treated as foreign under the Foreign Business Act. Where Thai shareholders are used, they must be genuine investors with their own funds and real shareholder rights. Nominee shareholders are prohibited.

The source page states that a standard Thai private limited company generally requires at least two individual promoters, at least two shareholders after incorporation, at least one director, an approved company name and objectives, a registered office in Thailand, and registered capital divided into shares. Much of the preparation can be coordinated while the investors are overseas, but original signatures, identity verification, certified documents or an authorized filing method may still be required. The address must be suitable for the intended registrations and activities. If the company needs VAT, Social Security, immigration or a sector licence, the office may need signage, supporting documents, photos or an inspection. Address eligibility should be checked before signing a lease or service agreement.
