Vietnam Company Setup Advisory FAQs

Practical questions foreign investors often ask before proceeding with a Vietnam company.

No. UnionSPACE is a private business advisory and commercial services provider. We do not issue IRCs, ERCs, tax registrations, licences, permits or immigration approvals. Those remain under the control of the relevant authorities.

Foreign investors may own 100% of a Vietnam company when the proposed activity is open to full foreign ownership. Market-access conditions, sector rules, licences and applicable treaty commitments should be checked before filing.

Not always. Many activities permit full foreign ownership, while conditional or restricted sectors may impose ownership limits, approvals, experience, capital or other requirements. An activity-level market-access review should come first.

An Investment Registration Certificate records an eligible foreign-invested project. An Enterprise Registration Certificate establishes the legal entity. A new foreign-invested company commonly obtains the IRC before the ERC, although acquisition structures and statutory exemptions can follow a different route.

The legal representative may be Vietnamese or foreign and acts within the authority stated by law and the company charter. The company must ensure that at least one legal representative resides in Vietnam and manage authorization if that person leaves Vietnam.
